uPlej Terms of Service Please read the following uPlej Terms of Use carefully before using this website or any service from uPlej. Your use of uPlej's website(s), including all web pages (collectively, the "Site") and all information, data, text, software, information, images, sounds or other materials (collectively, the "Content") contained therein confirms your acceptance of this Agreement and is subject to your continued compliance with the terms and conditions of this Agreement. If you are dissatisfied with the Site or other Offerings, your sole and exclusive remedy is to stop using the Site or other Offerings. SERVICE AGREEMENT All customers of uPlej are subject to this service, billing and cancellation policy (this "Policy"). Use by a customer of uPlej's services or network constitutes acceptance by such customer of the terms of this Policy. The donations are dispersed as follows: uPlej gives 85% of all donations to the charity 'donors' pledge. uPlej uses 15% of the remaining donation for administrative costs as listed below. * Banking processing and transaction fees up to 4% depending on the type of credit card used. * Banking transaction fees of up to $.25 cents. * uPlej hosting, systems and maintenance fees up to 11% uPlej's monthly subscription is "auto-renewing," meaning that a user's credit card will be billed each month, on the anniversary of the calendar day of their subscription, until it is canceled. If the calendar day on which the user subscribed does not exist in the following month(s), the billing date will be the date closest to the subscription anniversary date. For example, if a user subscribes on June 10, the next billing date is July 10. If they subscribe on March 31, the next billing date is April 30. For billing purposes, we will keep users credit card information on file and may ask for it to be updated. In addition it is possible for donors to donate a one time donation amount. Cancellation Users may cancel their monthly uPlej service at any time prior to the next billing date to avoid future charges. The user's uPlej website will remain active until their next renewal date, at which time the account will be cancelled and access turned off. Refunds uPlej does not offer refunds on any donation submitted by it's members, as these funds are transferred to our charitable partners as the money is received. MODIFICATIONS uPlej reserves the right to modify the terms and conditions of this Agreement at any time. Or to enhance, add to, modify or discontinue the Site or other Offerings. Changes to this Agreement will be effective immediately upon notice. Notice may be provided to you via e-mail or by display on the Site (hereinafter, "Notice"). Your use of the Site after such Notice will be deemed acceptance of such changes. Be sure to periodically review this Agreement to ensure familiarity with its most current contents. ACCESS and ELIGIBILITY Users must obtain access to the Internet and pay any service fees associated with access to use the Site. In addition, users must provide the equipment necessary to access the Internet. Users are solely responsible for scanning their system for computer viruses and other related problems before use. uPlej has no liability for any errors or failures relating to the malfunction of your own hardware or software. Users of the Site represent that they are at least 18 years old to use the services offered by uPlej. uPlej services cannot be offered in any country outside of those countries that are previously authorized. UPLEJ PROPRIETARY RIGHTS The Site and other Offerings and software used with the Site and other Offerings contain information that is protected by copyrights, trademarks, trade secret laws, service marks, patents and/or other proprietary rights and laws (collectively, "Intellectual Property Laws"). In addition, the Content contained within the Site or other Offerings or in sponsor advertisements, in information presented to you through the Site or other Offerings or in information presented to you by advertisers is protected by Intellectual Property Laws. You agree not to modify, rent, lease, loan, sell, distribute or create derivative works based on the Site or other Offerings, in whole or in part, unless authorized by us, in writing, to do so. You should assume that all content, materials, designs, text and images (collectively, the "Materials") contained on the Site are copyrighted and may not be used except as provided in these Terms of Use. You may download one copy of the Materials to one computer for your personal and non-commercial home use provided you do not change any copyright, trademark, or other proprietary notice. If you modify or use the Materials for any other purpose, you will be violating the intellectual property rights of uPlej. uPlej neither warrants nor represents that your use of the Materials will not infringe rights of third parties not affiliated with uPlej. Any unauthorized use of the Materials is strictly prohibited and may be a violation of the rights of uPlej and/or third parties. COMMUNICATION The Site may provide you with an opportunity to communicate with uPlej. Please be aware that any communication, whether it be suggestions, ideas, graphics or other material to uPlej through the Site or otherwise will be treated as non-confidential and non-proprietary. Anything you submit, transmit or post becomes the property of uPlej and uPlej is free to use any ideas, concepts, suggestions, graphics, photography or know-how contained in any communication for any purpose whatsoever, whether commercial or noncommercial, without payment of any compensation to you. UPLEJ USER WEB PAGES uPlej users will have their own web pages. It is the sole responsibility of each user to ensure that its website content is accurate and that it fully complies with all uPlej rules, policies and procedures, including without limitation, uPlej's rules of conduct and all applicable federal and state rules and regulations. YOUR INFORMATION AND YOUR PRIVACY When you provide information to the Site, you agree to provide accurate, current and complete information about yourself and you agree to maintain and update such information as necessary. uPlej may disclose information about you we collected through the Site or otherwise to third parties. For more information, please see uPlej's Privacy Policy. Any changes to the Privacy Policy will be effective immediately upon Notice. Your use of the Site or other Offerings after such Notice will be deemed acceptance of such changes. Be sure to review the Privacy Policy periodically to ensure your familiarity with its most current version. USER CONDUCT You are responsible for any and all Content that you send to uPlej. You may not use the Site or other Offerings or any information that you get from the Site or other Offerings to: interfere with any other user's use of the Site or other Offerings conduct any unlawful activity intentionally solicit or harm minors in any way misrepresent your own identity or any affiliation that you may have modify, adapt, sub-license, translate, sell, reverse engineer, decompile or disassemble any portion of the Site or other Offerings alter or remove any copyright, trademark or other proprietary rights notices "frame", "mirror" or "deep link" any part of the Site or other Offerings without our prior written authorization USE OF E-MAIL ADDRESSES PROVIDED BY THE SITE When using any e-mail address provided to you on or through the Site or other Offerings, you agree not to transmit to any person or entity: any Content that is unlawful, fraudulent, threatening, abusive, libelous, defamatory, vulgar, obscene, harmful, harassing, tortuous, invasive of another person's privacy, hateful, or is racially, ethnically or otherwise objectionable, or is subject to an agreement of confidentiality, or infringes upon our or any third party's intellectual property or other rights any non-public information about any company any trade secret any computer code, files or programs (for example, a computer virus) designed to interrupt, destroy, compromise the security of or limit the functionality of any device. any unsolicited message ("Spam") to any persons, entities, newsgroups, forums, e-mail lists or other groups or lists unless prior authorization has been obtained from the e-mail recipient which explicitly permits sending e-mail communication to them, or unless a business or personal relationship has already been established with the e-mail recipient. any e-mails with false or missing headers, or falsified, forged or altered e-mails related to uPlej and/or its products and services if a person or entity indicates that they do not want to receive e-mail, you agree not to send e-mail to such person or entity. If a person initially agrees to receive e-mail, but later asks to stop receiving e-mail, you must abide by that request. any e-mails that a person or entity has requested you not to send; if a person initially agrees to receive e-mail, but later asks to stop receiving e-mail, you must abide by that request. UNLAWFUL USE As a condition of your use of the Site, you represent and warrant to uPlej that you will not use the Site or any Materials for any purpose that is unlawful or prohibited by these Terms of Use. You may not use the Site in any manner that could damage, disable, overburden, or impair the Site or interfere with any other party's use and enjoyment of the Site. You may not obtain or attempt to obtain any Materials or information through any means not intentionally made available or provided for through the Site. It is up to you to take precautions to ensure that whatever Materials you select for your use is free of such items as viruses, worms, trojan horses and other items of a destructive nature. RESTRICTIONS ON USE uPlej grants you a limited, non-exclusive, non-transferable, non-assignable license to use the Content on the Site solely for the purpose of viewing the Site or other Offerings in the course of using the Internet. Subject to the foregoing license, you may not make a temporary or permanent copy of the Site or other Offerings or any Content on any media for any purpose whatsoever. uPlej retains all right, title and interest in all Content on the Site. THIS SITE This Site is controlled by uPlej from its offices in the state of Utah, United States of America. uPlej makes no representation that all of the contents of the Site are appropriate or available for use in other locations, and access to the Site is prohibited from locations where some or all of the content is illegal. If you choose to access this Site from other locations, you do so at your own initiative and you are responsible for compliance with applicable local laws. You may not use or export any Materials in violation of U.S. export laws and regulations. Any claim relating to Site content shall be governed by the laws of the State of Utah without regard to its conflict of laws principles. You agree and hereby submit to the exclusive personal jurisdiction and venue of the Federal and State Courts located in Salt Lake County, Utah, USA. SEVERABILITY If any part of these Terms of Use is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth herein, then the invalid or unenforceable provisions will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of these Terms of Use shall continue in effect. LINKS The Site may contain links to third party websites or resources. The provision of such links is not an endorsement of any information, product or service reached through such link. uPlej does not have any control over third party websites or resources and cannot be held responsible or liable for any Content, or for your reliance on any Content, found on such third party websites or resources. ERRORS Although uPlej attempts to maintain the integrity of the Site and other Offerings, it makes no guarantee as to the accuracy or completeness of the Site or other Offerings. If you believe that you have discovered an error in the Site or other Offerings, please send a description of the error, its URL location, and your contact information to info@uPlej.com. uPlej will make reasonable efforts to address your concerns. DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY By using the Site or other Offerings, you expressly agree that: The Site and other Offerings are provided on an "as is" and "as available" basis. We disclaim all warranties of any kind, whether express or implied, including, but not limited to the implied warranties of merchantability, fitness for a particular purpose and non-infringement. INDEMNIFICATION You agree to indemnify, defend and hold uPlej, its officers, directors, employees, agents, designees and users harmless from and against any and all claims, damages, losses, costs (including reasonable attorneys' fees) or other expenses that arise directly or indirectly out of or in any way related to: your acts or omissions in connection with the Site or other Offerings the acts or omissions of any person in connection with the Site or other Offerings using your account your purchase or use of the Site or other Offerings and the purchase or use of the Site or other Offerings by any person using your account breach of any provision of this Agreement any allegation that any materials submitted or transmitted to uPlej through the Site or other Offerings infringe or otherwise violate the copyright, trademark, trade secret or other intellectual property or other rights of any third party; and/or violation of the rights of any party, including without limitation any claims of libel, defamation, violation of rights of publicity, trespass, and infringement of intellectual property or other proprietary rights. TERMINATION At any time and for any reason, uPlej terminate your use of and access to the Site or other Offerings. At any time and for any reason, uPlej may modify or discontinue providing the Site or other Offerings, or any part thereof, with or without notice to you. No notice is required to affect any termination right of any party. You shall not hold uPlej responsible or liable for any direct, indirect, incidental, special, consequential or exemplary damages due to its modification or discontinuation of the Site or other Offerings or uPlej's termination of your access to the Site or other Offerings.
